Ultimate WinDough, ("WinDough") is a unique game featuring "collect-to-win" and "instant win", game piece sweepstakes on the Internet. Electronic game pieces ("EGPs") are distributed to entrants on a "first come, first served" basis. Redemption and complete terms and conditions are set forth below. Although online access and an e-mail account are required to play, absolutely no purchase is necessary. A number of Internet Service Providers ("ISPs") and non-ISP companies offer free e-mail accounts - computer ownership is not required to play or win Ultimate WinDough What is an EGP? An EGP is just like any game piece distributed in connection with a consumer promotion. Each EGP is unique and it can be only distributed once. Winning and collectible EGPs have been randomly seeded among the entire universe of WinDough EGPs. EGPs need not be scratched-off or peeled. Rather, they are distributed to players automatically. Upon receipt of a WinDough EGP, the player must merely look at it to determine whether it is an instant-win EGP (bearing the words "You Win!" and the WinDough logo), a collectible EGP (bearing the words "You've Found A Piece!" and the WinDough logo), or a non-winning (non-collectible) EGP that bears an advertisement for one of WinDough.com's (the "Promoter's") sponsors that links to that sponsor's web site. For instant win prizes, players simply click on the EGP to claim the prize. For collect-to-win prizes, players click on the EGP to claim the piece, which is part of a collection of pieces necessary to claim the prize. There is no obligation to link to any advertisement borne by a losing EGP (and linking to these advertisements have no bearing on your chances to win prizes in this game). 2. Who Can Play? WinDough is open to legal residents, 13 years of age and older, of the 50 United States and the District of Columbia, and Canada (except Quebec). Employees of Promoter, its affiliates, related companies, and agents, and game prize sponsors, promotional members and agents and members of the immediate family (defined as parents, children, siblings and spouse) of those employees, together with those with whom such employees are domiciled are not eligible. Ultimate WinDough must be played from computers or Internet terminals that are physically located in any one of the 50 United States, the District of Columbia, or Canada (except Quebec). 3. How to Enter? The Game begins February 1, 2001 at 12:00:00 A.M. Eastern Time ("ET"), and ends May 31, 2002 at 11:59:59 P.M. ET (the "Game Period"). To play, you must have a web browser that is compatible with WinDough (Netscape 4.0 or higher; Internet Explorer 4.1 or higher; AOL 5.0 or higher; or web browser compatible with the above-referenced browsers). Some compatible browsers are available free of charge via the Internet. Visit URL: http://www.windough.com and register with your e-mail address. In the event of a dispute as to who submitted an entry, the entry shall be deemed submitted by an "authorized e-mail account holder." Entries will be declared made by the authorized e-mail account holder of the e-mail address submitted at the time of entry. "Authorized e-mail account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational institution etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential winner may be requested to provide Promoter with proof that the potential winner is the authorized account holder of the e-mail address associated with the potentially winning EGP. When you log-in to the WinDough prize window, you are ready to receive EGPs. EGPs will appear in the WinDough prize window that can be kept up on your computer screen while you are surfing or doing other things on your computer. For help keeping the WinDough prize window open and noticeable, see online instructions at http://www.windough.com/faq.htm. EGPs will be distributed to your computer approximately every 30 seconds. Simply by staying logged in to the WinDough.com's server, you continue to receive EGPs. Promoter is not responsible for lost, late, incomplete, illegible or misdirected e-mail; for failed, partial or garbled computer transmissions; or for technical failures of any kind, including but not limited to telephone, cable, network, or electronic malfunctioning of any network, hardware, software, Internet service provider, website or by any human error which may occur in the processing of WinDough registration EGPs or requests. Proof of sending will not be deemed to be proof of receipt by Promoter. 4. How to Win. The "instant win" EGPs bear the WinDough logo and the mark "You Win!". Collect-to-win EGPs bear the WinDough logo and the mark "You've Found A Piece!". If you see an EGP that fits either of these descriptions, click on it before the EGP is automatically replaced by another EGP by the Promoter's server (you have approximately 30 seconds from the time the EGP is dealt). If you successfully click on an instant win EGP, you can claim the instant prize assigned to that EGP if you qualify according to these Official Rules. If you successfully click on a collect and win EGP, then that EGP will be credited to your WinDough registration account for the relevant collect-to-win prize. "Instant Win" If you click on an instant-winning EGP, you will be eligible to claim the shown prize, subject to verification of your eligibility and your compliance with these Official Rules. Promoter's decisions as to eligibility and compliance are final. "Collect-to-Win": If you click on a collect-to-win EGP, then you have collected ONE of the TOTAL REQUIRED collect-to-win pieces needed to collect that prize, as shown. In order to win any of the "collect-to-win" prizes listed below, THE TOTAL NUMBER OF COLLECTIBLE PIECES MUST be collected by a single WinDough player for that specific prize subject to verification of your eligibility and your compliance with these Official Rules. Collectible pieces from one prize CANNOT be combined with collectible pieces from another prize to secure the required number of pieces necessary to claim that prize. Players may not sell, trade or give collectible pieces to other players or to other WinDough accounts of their own. All collectible pieces expire two weeks after the second chance drawing. Promoter's decisions as to eligibility and compliance are final. For any collect-to-win prize, if all collect-to-win pieces for a given prize are not collected by a single player either during the Game Period or through the second chance drawing, that prize will not be awarded. There are no prizes or any other compensation associated with any WinDough player's incomplete collection of collect-to-win EGPs. 5. Notification and Redemption. If you successfully click on an instant winning WinDough EGP, or if you click on the last collectible EGP required to claim a collect-to-win prize, a prize message will immediately and automatically be sent to the e-mail address you designated in your registration. You must open the notification e-mail, go to the URL set forth therein, and successfully complete prize claim and verification materials within seven (7) calendar days of clicking on the above-described WinDough EGP, or prize will qualify as being "unclaimed" and will be forfeited. If the game period ends before all EGPs are put into play, Promoter will hold a random "second chance drawing" for each unawarded prize and all collect-to-win EGPs not put into play as of the end of then Game Period from among all eligible entrants as of July 31, 2002, on September 13, 2002, in Boca Raton, Florida. Selected entrants will be notified by e-mail. Unclaimed prizes will not be awarded. At the URL to which the potential winner is directed, the potential winner will be required to verify his or her identity, submit a Declaration of Compliance with these Official Rules (if Canadian), sign an affidavit of eligibility, a liability release, and publicity release, except where prohibited, and provide shipping information for the prize. Allow 4-6 weeks for shipment of prizes. Potential cash prize winners of U.S.$10,000 or more must download verification documentation and sign before a notary. Potential winners who are residents of Canada will be required to answer a time-limited, mathematical skill-testing question, without assistance of any kind, whether mechanical or otherwise, to be declared a winner. If this skill testing question cannot be administered to potential Canadian winners within seven (7) calendar days of clicking on the potentially winning EGP, the prize may be forfeited. Any requests for access to the information you have supplied, or to update or rectify it, may be submitted in writing to Promoter Promoter is not responsible for any injury or damage to persons or property which may be caused, directly or, to the fullest extent permitted by the law, indirectly, in whole or in part, from entrant's participation in the game or from downloading any material from Promoter's server or from any other Internet web site, regardless of whether the material was prepared by Promoter or a third party, and regardless of whether the material is connected to the Promoter's server by a hypertext link. PROMOTER RESERVES THE RIGHT TO AMEND OR TERMINATE THE GAME IF ANY FACTOR INTERFERES WITH ITS PROPER CONDUCT AS CONTEMPLATED BY THESE OFFICIAL RULES. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules shall be governed by, and construed in accordance with, the laws of the State of Florida. Any and all disputes, civil claims, judgments, and causes of action arising out of participation or in connection with WinDough, shall be resolved individually, and exclusively by arbitration under the International Arbitration Rules of the American Arbitration Association then in effect in Miami, Florida, U.S.A. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with any Event, but in no instance attorneys' fees. 10. Who Has Already Won? Winner's list and a copy of the complete Official Rules are available for a period of TWO (2) months after the Game Period ends.
